Accredited Investor Declaration
By submitting this form you understand and confirm that you are representing that you are a Professional Investor (“PI”) as defined in the Securities and Futures Ordinance and its subsidiary legislation and that you qualify as a PI under at least one of the defined criteria. The reader qualifies as a PI if they meet at least one of the criteria below:
Institutional PIs
Institutional PIs include:
- entities such as exchange companies specified in Part III, SFO;
- licensed corporations or registered institutions and similar investment service providers regulated overseas; also their wholly owned subsidiaries, holding companies (100% holding) and wholly owned subsidiaries of the holding companies;
- Authorised financial institutions (“AFIs”) and similar overseas institutions; also their wholly owned subsidiaries, holding companies and the wholly owned subsidiaries of the holding companies;
- insurers authorised and regulated under the Insurance Ordinance and their regulated overseas counterparts;
- Collective Investment Schemes (“CISs”) authorised in Hong Kong and their operators; and their regulated overseas counterparts;
- registered schemes as defined in the Mandatory Provident Fund Schemes Ordinance and Occupational Retirement Schemes Ordinance and their approved trustees, service providers, investment managers, administrators and regulated overseas counterparts; and
- governments, central banks and multilateral agencies.
Corporate PIs
Corporate PIs include:
- trustee companies responsible for total assets of not less than HK$40 million (or its equivalent in any foreign currency);
- corporations or partnerships having either a portfolio of not less than HK$8 million or total assets of not less than HK$40 million (or their equivalents in any foreign currency);
- corporations that act principally as investment holding companies and are wholly owned by one of the foregoing, by an Individual PI or by an Institutional PI referred to in section (a), (d), (e), (f) or (g) above; and
- corporations which wholly own a corporation referred to in (b) above.
Individual PIs
An individual PI is an individual who has a portfolio of not less than HK$8 million (or its equivalent in any foreign currency) when any one or more of the following are taken into account:
- the portfolio is in the individual’s own account;
- the portfolio is in a joint account with the individual’s spouse or child;
- the individual’s share of the portfolio is in a joint account with one or more persons other than the individual’s associate; and
- the portfolio is held by a corporation which has as its principal business the holding of investments and is wholly owned by the individual.
